1. Who you're contracting with
Her Structured Empire ("Her Structured Empire", "we", "us", "our") provides the document studio and related services described on this website. By accessing or using the service you agree to these Terms & Conditions.
2. Acceptance
By creating an account, purchasing a plan, or otherwise using the service, you agree to these terms. If you are using the service on behalf of an organisation, you confirm that you have authority to bind that organisation. You must be of legal age to enter into a contract.
3. The service
Her Structured Empire is a software-as-a-service platform for generating, customising and exporting branded business documents (proposals, agreements, onboarding kits, SOPs and related materials). Specific features available depend on the plan you purchase.
4. Acceptable use
You agree not to misuse the service. In particular, you must not: (a) use the service for any unlawful purpose; (b) commit fraud or send spam; (c) infringe the intellectual property rights of others; (d) attempt to interfere with the security or integrity of the service, including by introducing malware, probing, scanning, or scraping; (e) reverse engineer or attempt to extract source code; or (f) resell or redistribute the service without our written consent.
5. Account and credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.
6. Intellectual property
We retain all right, title and interest in the service, including the software, templates, documentation, and branding. You retain ownership of the content you create using the service. You grant us a limited licence to host and process your content solely to provide the service to you.
7. Licence to use
Subject to these terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service in accordance with the plan you have purchased.
8. Payment, billing and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation and refund mechanics are governed by the Paddle Buyer Terms. See our Refund Policy for details on how to request a refund.
9. Service level
We work hard to keep the service reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access to the service for: (a) material breach of these terms; (b) non-payment; (c) security or fraud risk; or (d) repeated or serious policy violations. On termination, you may export your content within a reasonable window before it is deleted.
11. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the service is capped at the fees you paid to us in the twelve months preceding the claim. We are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.
13. Governing law
These terms are governed by the laws of the jurisdiction in which Her Structured Empire is established. Disputes will be resolved in the courts of that jurisdiction.
14. Assignment and force majeure
You may not assign these terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
